By-Laws of the Nutmeg
Division

Article
I:
|
Membership
and Dues
|
|
|
Section
1:
|
All
members in good standing of the Nutmeg Division shall be eligible to
vote on any business before a meeting of the division. In order to be a
member in good standing, a member must attend one meeting a year.
|
|
|
|
Section
2:
|
Members
shall pay no dues.
|
|
|
|
Section
3:
|
Friends
shall pay $2 per year to help defray the costs of printing and mailing
the Nutmeg Division's newsletter the "Nutmeg Flyer".
|
|
|
Article
II:
|
Membership
and Dues
|
|
|
Section
1:
|
All meetings of the Nutmeg Division
shall be scheduled by the Board of Directors.
|
|
|
|
Section
2:
|
All meetings of the Board of Directors
shall be called by the President, except that in the absence of
any call by the President, the secretary shall call a meeting upon the
written request of one member of the Board.
|
|
|
|
Section
3:
|
The
President shall preside at all meetings of the Nutmeg Division and of
the Board of Directors. In the absence of the President
the directors present shall elect a temporary moderator.
|
|
|
|
Section
4:
|
All
activities of the Nutmeg Division shall comply with the Constitution
and By-Laws of the Northeastern Region and of the National Model
Railroad Association.
|
|
|
|
Section
5:
|
Two
or more Directors shall constitute a quorum for any meeting of the
Board of Directors of the Nutmeg Division. In the event that a Board
Member cannot attend a meeting for a legitimate reason, he/she may
designate in writing another member in good standing of the Nutmeg
Division, the Northeastern Region and the National Model Railroad
Association to serve as proxy.

Article
III:
|
Officers
and Directors
|
|
|
Section
1:
|
The
Secretary shall keep a record of all meetings of the Nutmeg Division
and of the meetings of the Board of Directors. The Secretary shall keep
copies of all correspondence on behalf of the Division.
|
|
|
|
Section
2:
|
The
Treasurer shall have custody of all funds and property of the Nutmeg
Division. The Treasurer shall pay bills approved by the Board of
Directors, except that the payment of sums of $100 or less, may be made with written approval of the
President. The Treasurer shall report all receipts and expenditures to
the Board of Directors. If the Board of Directors approves an expenditure over $100, it automatically becomes
an authorization to pay for only the amount already authorized by the
Board of Directors.

Section
3:
|
All
officers and Directors of the Nutmeg Division shall serve until their
successors have been elected and qualified.
The President may not serve more than two consecutive terms.
|
|
|
|
Section
4:
|
The
Board of Directors shall fill all vacancies among the officers or on
the Board of Directors of the Nutmeg Division between the Annual
Meetings of the Division.
|
|
|
Article
IV:
|
Amendments
|
|
|
Section
1:
|
These
By-Laws may be amended at any Division
meeting, by a two-thirds vote of the ballots cast provided such
proposed amendment has been submitted in writing to the Board of
Directors and approved by a two-thirds vote of the Directors before the
Division meeting. All members of the Nutmeg Division shall
be notified in writing by mail, prior to the meeting of the
proposed changes.

Section
2:
|
The
President shall appoint a constitutional committee every ten years to
review the constitution and by-laws and make recommendations for any
necessary changes thereto. The effective date of these By-Laws is the
date indicated below.
|
|
|
|
Section
3:
|
Should
the Nutmeg Division become inactive or cease to exist, any remaining
funds in the Treasury shall be distributed to the National Model
Railroad Association, Inc. [a 501(c)(3) organization] or such other
501(c)(3) organization as the Nutmeg Division determines pending the
reactivation or re-establishment of the Nutmeg Division.
